NONDISCLOSURE AGREEMENT FOR EXCLUSIVE EVENTS, MASTERCLASSES, LIVE RETREATS & COACHING/MENTORSHIPS.

This nondisclosure agreement (the “Agreement”) is made and entered into by and between RDDC, FDS, and S&M Elevation, collectively (“Disclosing Parties”) if applicable for elevation purposes only.

WHEREAS the Disclosing Parties possess confidential and/or proprietary information related to their businesses.

NOW, THEREFORE, Anyone agrees as follows:

1. Confidential Information

For the purposes of this Agreement, “Confidential Information” shall mean any and all information disclosed by the Disclosing Parties to the Recipient, whether in writing, orally, or by any other means, that is marked as confidential or that the Recipient knows or reasonably should know is confidential, proprietary, or trade secret information.

2. Use and Sharing of Confidential Information

The Recipient agrees that it will use the Confidential Information only for the purposes of evaluating a potential transaction or business relationship with the Disclosing Parties and will not use the Confidential Information for any other purpose.

The Recipient also agrees that it will not disclose the Confidential Information to any third party unless such disclosure is required by law or court order, and in such case, the Recipient shall give the Disclosing Parties prompt written notice of such requirement in order to enable the Disclosing Parties to seek an appropriate protective order prior to any disclosure.

Any dispute arising out of or in connection with this Agreement will be subject to the jurisdiction of the courts of the States, and the parties agree to submit to the personal jurisdiction of such courts.

This Agreement constitutes the entire agreement between the parties concerning the Confidential Information disclosed by the Disclosing Parties to the Recipient and supersedes all prior or contemporaneous oral or written agreements and understandings between the parties relating to such Confidential Information. This Agreement may not be amended or modified except in writing signed by All parties.

8. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
